Acceptance of the terms of use

These General Terms govern the use of and access to the Website www.alimarket.es, whose purpose is to serve as a gateway to PUBLICACIONES ALIMARKET, S.A., both internally and externally, offering users information, services and content over the Internet. Accordingly, certain content and services are only accessible after User registration and, in the case of articles from Magazines and Publications, to Subscribers, subject to Specific Terms of Use.

PUBLICACIONES ALIMARKET S.A. will take all measures within its power to prevent any conduct contrary to Spanish law and will cooperate with the competent Authorities in identifying those responsible for any actions that may breach the laws applicable to this Website.

The use of any product and service, including without limitation materials, features, articles, rankings, studies, publications, tools, information, content, images, illustrations, designs, icons and any other content that is or may in the future be on this website (collectively, the “Content”) is subject to these Terms of Use, and any use thereof constitutes express acceptance of these Terms of Use by Internet Users, Registered Users and/or Subscribers.

Where the registered User and/or subscriber is a Company / Foundation / Public Administration / Association / Institution / Other legal entity, the User accepting these Terms of Use warrants that they are authorised by that entity to accept them and to bind it on behalf of said Company / Foundation / Public Administration / Association / Institution / Other legal entity.

Terms of use for contributors

The “Yo informador” (contributor) service allows you to submit information to the Alimarket website about any news relating to your own company or to a company you represent (as in the case of Communication Agencies, Distributors, etc.), subject to prior validation.

Alimarket does not undertake to publish all the information received since, in addition to the validation process, any content containing offensive or inappropriate messages, in the opinion of our editorial team, will be excluded. Once these basic steps have been completed, Alimarket will publish the information on its website within two working days of receiving the message.

Intellectual and industrial property

The content, programming, graphics and design of this Website are the property of PUBLICACIONES ALIMARKET S.A. and are duly protected under Spanish and international Intellectual and Industrial Property legislation; furthermore, PUBLICACIONES ALIMARKET S.A. holds an authorisation/licence to use the trademarks and content granted by the owners of such content.

The User undertakes to use the content diligently and correctly, in accordance with the law, morality and public order. PUBLICACIONES ALIMARKET S.A. authorises the User to view the information contained on www.alimarket.es and to make private reproductions (simply downloading and storing it on their computer systems), provided that such items are intended solely for personal use.

The User is not authorised to distribute, modify, assign or publicly communicate the information contained on this Website in any form and for any purpose whatsoever.

The User must refrain from removing, altering, circumventing or tampering with any protection device or security system installed on the Website www.alimarket.es.

Restrictions on the use of content in the field of Artificial Intelligence

1. Users acknowledge that the right to use Alimarket content is granted without the right to use it for (i) automated information extraction techniques, including but not limited to Text and Data Mining (TDM), scraping, mass indexing, systematic downloading or similar procedures, or (ii) the training, feeding, fine-tuning or machine learning of any artificial intelligence system or technology based on it, which shall include, also without limitation, natural language generation tools, speech recognition, machine learning platforms, decision management engines, deep learning platforms, robotic process automation, text analytics and natural language processing tools and any other related disruptive technology (hereinafter, “Artificial Intelligence”). The use of the licensed content for any of the above purposes shall constitute a breach of these Terms of Use.

2. Furthermore, in order to enforce the above provision, Alimarket may include in its content and/or materials traceability measures designed to detect unauthorised use, such as identifiers, watermarks or synthetic records, applied in accordance with current legislation.

3. Users must uphold the commitment undertaken under this obligation in the contracts, transactions and legal relationships they maintain with third parties, whether individuals or legal entities, taking all necessary measures to that end and including, where necessary, written provisions in the contracts they enter into with such third parties.

4. Failure to comply with this clause shall entitle Alimarket to terminate the service immediately, block access and claim the corresponding compensation for damages, also reserving the right to require the immediate deletion of any Artificial Intelligence model or database that has been trained or enriched in breach of these terms.

Specific terms of use for exporting databases

Licence agreement

Please read this agreement carefully before using the databases included on our website. Publicaciones Alimarket S.A. will only grant you a licence to use the databases included on the website if you first accept the terms of this agreement. By using and accessing the databases, the customer agrees to these terms. If you do not accept the terms, you must refrain from downloading any database from our website and cancel the database export option with whoever sold it to you (either Publicaciones Alimarket S.A. or authorised distributors of Publicaciones Alimarket S.A.) in order to request a refund of the amount paid.

This LICENCE AGREEMENT is entered into by PUBLICACIONES ALIMARKET S.A., on the one hand, and the LICENSEE, on the other, the latter being understood as any individual or legal entity that, by any means, has contracted with PUBLICACIONES ALIMARKET S.A. or with an AUTHORISED DISTRIBUTOR OF PUBLICACIONES ALIMARKET S.A. a service providing access to the database of PUBLICACIONES ALIMARKET S.A. or to part of it (hereinafter, the PUBLICACIONES ALIMARKET DATABASE), under the contracting terms agreed by both parties.

1. One.- Purpose.

   This LICENCE governs the terms under which PUBLICACIONES ALIMARKET S.A. grants the LICENSEE a RIGHT OF USE of the PUBLICACIONES ALIMARKET DATABASE.

   This LICENCE does not govern how such RIGHT OF USE is acquired, which shall be subject to specific contracting terms between the LICENSEE and PUBLICACIONES ALIMARKET S.A. or between the LICENSEE and an AUTHORISED DISTRIBUTOR of PUBLICACIONES ALIMARKET S.A.

2. Two.- Access to content and licence of use.

   The LICENCE granted by PUBLICACIONES ALIMARKET S.A. to the LICENSEE is non-exclusive, non-transferable and non-sublicensable.

   PUBLICACIONES ALIMARKET S.A. expressly reserves any power or right not granted in this Licence and any form of exploitation of the PUBLICACIONES ALIMARKET DATABASE not expressly authorised herein.

   Under this LICENCE, PUBLICACIONES ALIMARKET S.A. authorises the LICENSEE to:

   1. Access the PUBLICACIONES ALIMARKET DATABASE, or part of it, an unlimited number of times, in accordance with the contracting terms of the service, through the LICENSEE's registered user account on the PUBLICACIONES ALIMARKET S.A. website, subject to the limitations set out in this LICENCE.

   2. Where so provided in the contracting terms of the service, download the content of the PUBLICACIONES ALIMARKET DATABASE to which it has access.

   Under this Licence Agreement, PUBLICACIONES ALIMARKET S.A. authorises the LICENSEE to use the PUBLICACIONES ALIMARKET Databases contained on the website, the LICENSEE undertaking at all times to comply with the obligations established by current legislation on Personal Data Protection and on unsolicited Commercial Communications, and not to apply or use the PUBLICACIONES ALIMARKET DATABASE for any purpose other than that provided for in this Licence Agreement, nor to disclose it to third parties, not even for safekeeping.

   In this regard, the LICENSEE undertakes to maintain the utmost discretion and confidentiality regarding the data to which it has access, undertaking not to disclose or publish them, or otherwise make them available to third parties, directly or indirectly, in whole or in part, for purposes other than those expressly authorised by PUBLICACIONES ALIMARKET S.A. in this Licence Agreement.

3. Three.- Intellectual and industrial property.

   1. Copyright, exploitation and moral rights, and any other intellectual or industrial property rights existing over the PUBLICACIONES ALIMARKET DATABASE, its preparatory and technical documentation and user manuals, of whatever nature, as well as any of its components, are the property of PUBLICACIONES ALIMARKET S.A., or it holds sufficient authorisation to exploit them or is legally entitled to do so. In no event shall this Licence be construed as a transfer or assignment of said intellectual and/or industrial property rights, which shall remain the property of their lawful owners.

   2. In no event may the LICENSEE (including its employees and/or collaborators) reproduce, distribute, publicly communicate, transform or otherwise exploit the PUBLICACIONES ALIMARKET DATABASE, whether for consideration or free of charge, beyond what is provided for in this LICENCE. Nor may it sublicense or transfer to third parties the rights obtained under this LICENCE.

   3. In particular, but without limitation, PUBLICACIONES ALIMARKET S.A. reserves the following rights:

   1. Exploitation of the PUBLICACIONES ALIMARKET DATABASE, its preparatory and technical documentation and its user manuals, and specifically: rights of reproduction, fixation, transformation, adaptation, distribution, public communication and any other power or form of exploitation of the PUBLICACIONES ALIMARKET DATABASE worldwide and by any means.

   2. Use and exploitation of the PUBLICACIONES ALIMARKET S.A. logo trademarks, in accordance with the rights granted to it by Spanish and international Industrial Property legislation, worldwide.

   3. Remuneration rights. PUBLICACIONES ALIMARKET S.A. expressly reserves all so-called “remuneration rights” to which it is entitled as owner of the Intellectual and Industrial Property rights over the PUBLICACIONES ALIMARKET S.A. DATABASE, its preparatory and technical documentation, user manuals and logo trademarks.

   4. Any payments or royalties made are payments accrued as a result of the rights of use granted under this licence and shall not entail the transfer of any right over the PUBLICACIONES ALIMARKET DATABASE.

4. Four.- Obligations of the licensee when using the Publicaciones Alimarket database.

   The LICENSEE may not:

   1. Provide or distribute in any way or by any means the PUBLICACIONES ALIMARKET DATABASE, or any part of it, or its documentation, to any third party, whether by assignment, sub-lease, sublicence or in any other way.

   2. Copy, transform, adapt, decompile, reverse engineer, disassemble, modify or manipulate in any way, in whole or in part, the PUBLICACIONES ALIMARKET DATABASE or its documentation, except where expressly authorised in this Licence.

   3. Conceal or remove the corresponding intellectual property or “copyright” notice, any other title or registered trademark, or any notice or indication regarding the use of the PUBLICACIONES ALIMARKET DATABASE.

   4. Present, disseminate or market the PUBLICACIONES ALIMARKET DATABASE, whether free of charge or for consideration, in any form and through any medium.

   5. Adapt, modify or transform the PUBLICACIONES ALIMARKET DATABASE with a view to creating derived or new functionalities.

   The LICENSEE must keep confidential and secret the access credentials to its user account on the PUBLICACIONES ALIMARKET S.A. website, through which it may access the PUBLICACIONES ALIMARKET DATABASE, and shall bear any damage, loss or cost that may arise from failing to do so, with or without its consent and/or knowledge.

5. Five.- Warranties

   1. Publicaciones Alimarket, S.A. expressly declares that the data or records forming part of the PUBLICACIONES ALIMARKET DATABASE have been obtained from Alimarket's own files, as well as from publicly accessible sources and third-party information sources. Data have been collected on the basis of Alimarket's legitimate interest in compiling databases of companies and executives.
      
      Alimarket has made every effort to ensure that the database does not include any data relating to persons who have initially expressed their wish not to receive commercial or promotional advertising, or who have subsequently exercised their right to object or to erasure up to the present date.
      
      Alimarket does not warrant the usefulness of the PUBLICACIONES ALIMARKET DATABASE to the LICENSEE.

   2. Alimarket does not warrant to the LICENSEE that the data contained in the PUBLICACIONES ALIMARKET DATABASE may be used for advertising or commercial purposes, as in some cases the prior and informed consent of the data subject to receive third-party commercial communications by electronic means may not have been obtained.

   3. Notwithstanding the foregoing, the LICENSEE must comply with each and every one of the obligations established by the General Data Protection Regulation and by Spanish Law 34/2002, of 11 July, on Information Society Services and Electronic Commerce, as in force, in relation to the use and/or sending of commercial or promotional communications to recipients, whether individuals and/or legal entities, whose data are contained in the PUBLICACIONES ALIMARKET DATABASE, and must consult the existing common advertising exclusion files or lists (the Robinson List) before sending any communication.

   4. Likewise, in compliance with the regulations, if any of the data or records in the PUBLICACIONES ALIMARKET DATABASE are rectified or erased, or if the data subject contacts Alimarket requesting that their data not be used for advertising and/or commercial prospecting, Alimarket will notify the LICENSEE of such circumstance by email, in a text file, within 10 working days of the date of the request.

   5. The LICENSEE undertakes not to use any records in respect of which Alimarket has notified it that the right to erasure or to object to processing has been exercised.

   6. The LICENSEE shall use the PUBLICACIONES ALIMARKET DATABASE at its own risk, holding PUBLICACIONES ALIMARKET S.A. harmless from any damage, loss or cost it may incur as a result of such use.

   7. The LICENSEE shall be liable for all damages, as well as for any administrative and financial penalties arising from its failure to comply with the obligations set out in the preceding sections, and for any other penalty resulting from its breach of current Personal Data Protection legislation. Alimarket shall in no event be liable for the use made by the LICENSEE of the PUBLICACIONES ALIMARKET DATABASE, and the LICENSEE undertakes to hold it harmless from any expense, fine or penalty, including the legal fees incurred by Alimarket as a result of any wilful or negligent misuse of the PUBLICACIONES ALIMARKET DATABASE.

   8. In the event of breach of this LICENCE by the LICENSEE, Alimarket shall be entitled to compensation for any damages, in addition to any legal action provided for by Spanish law for the protection of intellectual and industrial property rights.

6. Six.- Confidentiality.

   Each party undertakes to keep confidential, during and after the termination of the Licence Agreement, all information to which it has had access in any way or which has been disclosed to it by the other party during the term of the Licence Agreement.

   The LICENSEE may not provide its access credentials to the website and to the PUBLICACIONES ALIMARKET DATABASES to anyone other than its own employees (authorised users) who work with them. To this end, in addition to adopting appropriate security measures to protect access to the website and the DATABASES against theft, piracy or unauthorised access, the LICENSEE must act with due diligence and take all necessary measures to ensure that none of its employees, contractors, agents and/or any other representatives or end users disclose, copy, transmit, decompile, disassemble or compromise the confidentiality of the information on the website in a way that harms PUBLICACIONES ALIMARKET S.A.

7. Seven.- Limitation of liability.

   1. In no event shall PUBLICACIONES ALIMARKET S.A. be liable for any indirect or consequential damages, including, without limitation, loss of profit, damage to the reputation of the company or its business, or loss of data or use caused by the services provided by PUBLICACIONES ALIMARKET S.A., or by the use, misuse or non-use by the LICENSEE and its employees and/or collaborators of the applications, tools, Databases, Records, application modules and/or equipment covered by this Licence Agreement.

   2. In any case, the liability of PUBLICACIONES ALIMARKET S.A. shall be limited, at most and on any grounds, to the amount received as consideration for the LICENCE.

   3. Any reduction in the use or availability of access to the website may not serve as a pretext for the LICENSEE to delay payment or to fail to comply with its other obligations.

   4. The LICENSEE expressly releases PUBLICACIONES ALIMARKET S.A. from any damage it may suffer for reasons that may arise, directly or indirectly, from this Licence Agreement for access to the website or from the use of the records making up the PUBLICACIONES ALIMARKET DATABASES.

   5. PUBLICACIONES ALIMARKET S.A. expressly advises the LICENSEE of the need to take appropriate measures to ensure the integrity of the information and data contained in the system, to make periodic back-up copies, and to check periodically the integrity of the data contained in the system and of the back-up data/media.

8. Eight.- Term and early termination of the licence agreement.

   1. This LICENCE is granted for the period agreed by the parties in accordance with the contracting terms referred to above.

   2. Without prejudice to the general grounds for termination set out in Spanish law and to those provided for in the aforementioned contracting terms, PUBLICACIONES ALIMARKET S.A. shall be entitled to revoke or terminate this Licence Agreement with immediate effect, and to claim any penalty or compensation for damages that may be due, by notice sent by registered letter with acknowledgement of receipt, in the following cases:

   1. Granting to third parties, whether free of charge or for consideration, rights to use the PUBLICACIONES ALIMARKET DATABASE.

   2. Disclosure to third parties of the content of the PUBLICACIONES ALIMARKET DATABASE by the LICENSEE or its employees and/or collaborators.

   3. Subrogation of a third party, on any grounds, in this Licence Agreement, including as a result of a corporate acquisition or merger and other cases of assignment by operation of law.

   4. Use of the PUBLICACIONES ALIMARKET DATABASE by the LICENSEE for the benefit of unauthorised third parties.

   5. Unauthorised copying of the PUBLICACIONES ALIMARKET DATABASE and/or of the documentation or content included in it.

   6. Use of records from the PUBLICACIONES ALIMARKET DATABASE in breach of the obligations established by Spanish Organic Law 15/1999 on the Protection of Personal Data, as well as use of records notified by PUBLICACIONES ALIMARKET S.A. in respect of which the data subjects have exercised their right to object to processing for commercial prospecting purposes.

   7. Any alteration or modification by the LICENSEE of the data in the PUBLICACIONES ALIMARKET DATABASE not authorised by PUBLICACIONES ALIMARKET S.A.

   3. In the cases set out above, as well as in the event of revocation and/or termination of this non-exclusive Licence Agreement for the use of the PUBLICACIONES ALIMARKET DATABASES, PUBLICACIONES ALIMARKET S.A. reserves the right to compensation for any greater damage, in addition to any legal action provided for by Spanish law for the protection of intellectual and industrial property rights.

   4. The LICENSEE shall be personally liable for any infringements it may commit should it allocate and/or use the personal data contained in the PUBLICACIONES ALIMARKET DATABASES in breach of current legislation and of this Licence Agreement, disclose them to a third party or distribute them by any means, whether for consideration or free of charge, publicly or privately.

9. Nine.- Governing law and jurisdiction.

   PUBLICACIONES ALIMARKET S.A. and the LICENSEE, expressly waiving any other jurisdiction and law that may apply to them, agree that any dispute, controversy, disagreement, issue or claim arising from the performance or interpretation of this Licence Agreement or related to it, directly or indirectly, shall be expressly submitted to the jurisdiction of the Courts and Tribunals of Madrid, Spain.

Specific terms of use for registered users

User Registration on the website www.alimarket.es is carried out by completing a form, the User undertaking to provide true and up-to-date data, and by the User's express acceptance of these Specific Terms of Use, which may be amended by PUBLICACIONES ALIMARKET S.A. at any time.

To sign in, the USER must enter their username and associated password; these access credentials are PERSONAL and NON-TRANSFERABLE, and the USER is responsible for keeping them safe and must maintain them in the strictest confidence.

The USER undertakes to make appropriate use of the content and services (such as chat services, discussion forums or newsgroups) that PUBLICACIONES ALIMARKET offers or may offer through its Website and, by way of example but without limitation, not to use them to:

1. Engage in unlawful or illegal activities or activities contrary to good faith and public order.

2. Disseminate racist, xenophobic, illegal pornographic content or propaganda, content that glorifies terrorism or that violates human rights.

3. Cause damage to the physical and logical systems of PUBLICACIONES ALIMARKET, its suppliers or third parties, or introduce or spread computer viruses or any other physical or logical systems capable of causing the aforementioned damage.

4. Attempt to access and, where applicable, use other users' email accounts and modify or manipulate their messages.

PUBLICACIONES ALIMARKET reserves the right to remove any comments and contributions that violate respect for human dignity, are discriminatory, xenophobic, racist or pornographic, that harm young people or children, public order or public safety, or that, in its opinion, are not suitable for publication. In any case, PUBLICACIONES ALIMARKET shall under no circumstances be responsible for the opinions expressed by users in forums, chats or other participation tools.

Returns policy

Returns are not accepted for content delivered exclusively online. For subscriptions or other products that include a physical product, returns will be accepted within 72 hours of delivery, and the corresponding credit or refund will be issued.
